Terms of Service
The terms governing your use of Finacly services.

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services provided by Finacly AI Inc. (“Finacly,” “we,” “us,” or “our”), including Finacly Guard (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Scope of the Services
Finacly provides software, tools, and related services designed to support compliant financial operations, including workflow automation, evidence organization, audit trails, and reporting support.
The Services are intended for business and professional use only. They are not designed for personal, consumer, or household use.
2. Eligibility and Authority
You represent and warrant that:
- You are at least 18 years old
- You have the authority to enter into these Terms on behalf of yourself or the entity you represent
- Your use of the Services complies with all applicable laws and regulations
If you are using the Services on behalf of an organization, that organization is responsible for all use under its account.
3. Accounts and Access
Certain features may require account registration or authorized access.
You are responsible for:
- Maintaining the confidentiality of login credentials
- Restricting access to authorized users
- All activity that occurs under your account
You must notify us promptly of any unauthorized access or suspected security incident.
4. Use of the Services
4.1 Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms.
4.2 Prohibited Use
You may not:
- Use the Services for unlawful, fraudulent, or misleading purposes
- Attempt to gain unauthorized access to systems or data
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble the Services
- Use the Services to provide legal advice or represent the Services as legal, regulatory, or compliance advice
5. No Legal or Regulatory Advice
Finacly provides software and workflow infrastructure only.
The Services:
- Do not provide legal, regulatory, accounting, or compliance advice
- Do not replace professional judgment or external advisors
- Do not guarantee regulatory approval or compliance outcomes
You are solely responsible for interpreting and complying with applicable laws and regulations, including through qualified advisors.
6. Customer Data
6.1 Ownership
You retain all rights to data, documents, and information you submit to or generate through the Services (“Customer Data”).
6.2 Use of Customer Data
We process Customer Data solely to:
- Provide and operate the Services
- Support functionality, security, and reliability
- Comply with legal obligations
We do not use Customer Data for advertising or resale purposes.
6.3 Responsibility for Data
You are responsible for:
- Ensuring you have the right to provide Customer Data
- The accuracy, legality, and appropriateness of Customer Data
- Configuring access controls and permissions appropriately
7. Confidentiality
Each party agrees to protect the other party’s confidential information and use it only as necessary to perform under these Terms.
Confidential information does not include information that:
- Is publicly available through no fault of the receiving party
- Was lawfully known prior to disclosure
- Is independently developed without reference to the confidential information
- Is required to be disclosed by law or court order
8. Security
Finacly designs the Services for regulated environments and implements reasonable administrative, technical, and organizational safeguards.
However, no system is entirely risk-free. You acknowledge that:
- Absolute security cannot be guaranteed
- You are responsible for internal security controls and access governance
- Security documentation may be provided separately under NDA
9. Fees and Payment (If Applicable)
Fees, billing terms, and payment schedules (if any) will be set forth in a separate agreement, order form, or statement of work.
Unless otherwise stated:
- Fees are non-refundable
- Taxes are your responsibility
- Late payments may result in suspension of access
10. Third-Party Services
The Services may integrate with or rely on third-party tools or services.
Finacly:
- Is not responsible for third-party services
- Does not control their availability or functionality
- Disclaims liability arising from third-party systems
Your use of third-party services is governed by their own terms.
11. Intellectual Property
11.1 Finacly IP
Finacly retains all rights, title, and interest in:
- The Services
- Software, code, documentation, and workflows
- Trademarks, logos, and branding
No rights are granted except as expressly stated in these Terms.
11.2 Feedback
Any feedback you provide may be used by Finacly without restriction or obligation.
12. Suspension and Termination
We may suspend or terminate access if:
- You violate these Terms
- Your use poses a security or legal risk
- Required by law or regulation
- Payment obligations are not met (if applicable)
You may discontinue use at any time. Upon termination, access to the Services may cease, subject to data retention obligations.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINACLY DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF OUTPUTS
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- FINACLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES
- FINACLY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FINACLY IN THE 12 MONTHS PRECEDING THE CLAIM (IF ANY)
This limitation applies regardless of the theory of liability.
15. Indemnification
You agree to indemnify and hold harmless Finacly from claims arising out of:
- Your use of the Services
- Your Customer Data
- Your violation of these Terms
- Your violation of applicable laws or regulations
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree to the exclusive jurisdiction of courts located in Nova Scotia, Canada.
17. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date reflects the most recent version.
Continued use of the Services after changes constitutes acceptance of the updated Terms.
